Welcome to Seed CPO LLC! These Terms of Service (“Terms”) govern your use of our website (https://www.getcaio.com), design services, development services, and related offerings (collectively, the “Services”). By subscribing to or using our Services, you agree to these Terms. If you do not agree, please do not use our Services.
1. Acceptance of Terms
By subscribing, making a payment, or using our Services, you (“Client” or “You”) acknowledge that you have read, understood, and agree to these Terms, as well as our Privacy Policy (linked separately). These Terms form a legally binding agreement between you and Seed CPO LLC (“We,” “Us,” or “Our”).
2. Eligibility
You must be at least 18 years old and capable of entering into a legally binding agreement to use our Services. By subscribing, you represent that you meet these requirements.
3. Subscription-Based Services
3.1 General
All Services are provided exclusively to active subscribers. Services include design and development work such as UI/UX, graphic design, website development, and related tasks, as outlined on our website or in your subscription plan.
3.2 Subscription Terms
Payment: Subscriptions are paid in full at the beginning of each service period (e.g., monthly). Payments are processed via Stripe, our third-party payment processor.
Cancellation: You may cancel your subscription at any time by contacting us at adam@seedcpo.com. No refunds are issued for unused portions of the service period unless required by law.
Access: Services are only available during an active subscription. Upon cancellation or non-payment, access to Services ceases immediately.
3.3 Turnaround Time
We aim for a 48-hour turnaround on requests, but this is not guaranteed and depends on request size and complexity.
Large requests exceeding 48 hours may be split into smaller tasks at our discretion, with updated timelines communicated to you.
Fast turnaround requires your timely provision of all necessary requirements, materials, and access (e.g., codebases, assets). Delays in your response or incomplete materials may extend timelines.
4. Payment Terms
4.1 Pricing
Subscription fees are listed on https://www.getcaio.com or in your subscription agreement, in USD, and are subject to change with 30 days’ notice. You agree to Stripe’s terms of service (https://stripe.com/legal).
4.2 Billing
Subscriptions are billed upfront for each service period. Failed payments may suspend Services until resolved. You are responsible for maintaining valid payment information.
4.3 Refunds
Payments are non-refundable once a service period begins, except as required by law. Contact adam@seedcpo.com within 7 days of payment to discuss any issues.
5. Client Responsibilities
You agree to:Provide all necessary materials, access (e.g., codebases, logins), and detailed requirements upfront.
Review and approve deliverables in a timely manner.
Ensure you have rights to any assets you provide us.
6. Intellectual Property
6.1 Ownership of Design Work
Upon full payment of your subscription fees for the relevant service period, we assign all rights, title, and interest in the final design deliverables (e.g., UI/UX, graphics) to you, including copyrights and usage rights. We retain the right to showcase this work in our portfolio or marketing unless agreed otherwise.
6.2 Ownership of Development Work
Custom code written specifically for you (e.g., websites, applications) becomes your property upon completion, client approval, and full payment of the relevant subscription fees. You receive full ownership and rights to this custom code. We may incorporate open-source libraries, third-party tools, or our proprietary code, which remain under their respective licenses or our ownership. We will:Use such tools only when appropriate and in compliance with their terms.
Ensure all deliverables are tested and confirmed working by you before final delivery.
6.3 Pre-Existing Materials
Pre-existing designs, code, or tools we bring to the project remain our property or that of their respective owners. Your use of these is subject to applicable licenses.
7. Development Work Limitations
Development deliverables depend on third-party platforms, hosting, APIs, and evolving technology. We are not liable for:Downtime, errors, or interruptions caused by third-party services or technological changes beyond our control after delivery.
Maintenance or updates required post-delivery unless covered by an active subscription.
You are responsible for ongoing hosting, maintenance, and updates unless otherwise agreed.
8. Limitation of Liability
To the fullest extent permitted by law, Seed CPO LLC will not be liable for any indirect, incidental, or consequential damages, including loss of profits, data, or business opportunities, arising from our Services. Our total liability shall not exceed the amount you paid us for the current subscription period.
9. Disclaimer of Warranties
Except as stated in Section 6.2 (working condition upon delivery), our Services are provided “as is” and “as available.” We disclaim all warranties, express or implied, including merchantability or fitness for a particular purpose, except as required by law. We do not guarantee uninterrupted, error-free, or future-compatible deliverables after delivery.
10. Termination
10.1 By Client
You may cancel your subscription anytime by emailing adam@seedcpo.com. Services end at the close of your current paid period, with no further billing.
10.2 By Us
We may suspend or terminate Services for non-payment, breach of these Terms, or at our discretion with 7 days’ notice. You remain liable for fees incurred prior to termination.11. Governing Law
These Terms are governed by the laws of North Carolina, USA, without regard to conflict of law principles. Disputes will be resolved in the courts of Catawba County, North Carolina.12. Changes to Terms
We may update these Terms periodically. Material changes will be communicated via email or website notice at least 30 days before taking effect. Continued use of our Services after the effective date constitutes acceptance.13. Contact Us
